CURRICULUM AND CONTENT LICENSING AGREEMENT

This CURRICULUM AND CONTENT LICENSING AGREEMENT (the "Agreement") is made and entered into by and between Beauties, a Colorado nonprofit corporation, and

Recitals 

1. WHEREAS, the Parties intend to effectuate an arrangement that provides content, curriculum, procedures, and processes Christian churches and small groups for implementing the Beauties small group program for girls; 
2. WHEREAS, Beauties has created and copyrighted materials and curriculum for starting Christian small groups for girls with the mission of empowering girls to live out their identity in Christ by increasing self-worth and building confidence and purpose through engaging Gospel-centered curriculum in a small, peer group setting; 
3. WHEREAS, Beauties seeks to fulfill its mission by licensing its copyrighted materials to Christian churches and small group leaders to provide them with resources for starting and growing local Beauties groups; 
4. WHEREAS, Licensee intends to start and maintain a Beauties small group by using Beauties copyrighted content and materials; 
5. WHEREAS, the Parties intend to effectuate a licensing arrangement by which Licensee has a limited, non-exclusive, non-transferable, non-sublicensable license to use Beauties’ copyrighted content and material for purposes of starting and maintaining a Beauties small group; 

Terms of Agreement 

NOW THEREFORE, for and in consideration of the payments, acknowledgments, mutual promises and covenants contained herein by the Parties, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereto agree as follows: 

1. Recitals. The above Recitals are true and correct, they are incorporated herein by reference, and they are deemed a material part of this Agreement. 
2. Definitions. The following definitions shall apply to each respective term as they are used in this Agreement: 
3. “Licensed Content” means any and all curriculum, content, materials, and resources provided by Beauties to Licensee, including but not limited to the following: 
4. The Beauties Leader Guide 
5. The Beauties Group Procedures 

iii. The Beauties Kickoff Launch Event Info Guide 

1. The Beauties Curriculum Descriptions and Content 
2. Any and all other materials, curriculum, or resources provided by Beauties to the Licensee. 
3. “Beauties Small Group Program” means a Christian small group program for girls that is formed and operated in adherence to the processes and curriculum in the Licensed Content. 
4. “Beauties Leader” means an adult female volunteer or employee of Licensee or a Beauties Small Group Program who undertakes to start and maintain a Beauties Small Group Program. 
5. “Beauties Activity” means any activity conducted by or in the context of a Beauties Small Group Program. 
6. “Beauties Values and Principles” means the Christian organizational values and beliefs of Beauties as set forth and explained in Beauties’ Statement of Faith, its Pillars of Purpose, and any materials in the Licensed Content describing or articulating the values and beliefs of Beauties. 
7. “Beauties Procedures” means the processes, methods, and procedures for forming and maintaining a Beauties Small Group Program or conducting Beauties Activities, as outlined or described in the Licensed Content. 
8. Ownership of Licensed Content. Licensee agrees and acknowledges that Beauties has invested considerable expense and work into creating and developing the Licensed Content and that the Licensed Content is Beauties’ proprietary and copyrighted information, content, and materials. Beauties is the sole and exclusive owner of all Licensed Content, including any duplicates or copies (electronic or paper). Licensee expressly disclaims any past, present, or future claim of ownership or interest in any Licensed Content or Beauties Procedures beyond the interests expressly granted herein. Nothing in this 

Agreement shall be construed to relinquish, waive, or disclaim any of Beauties’ rights, interests, or ownership of any materials or proprietary information, including but not limited to the Licensed Content. 

License to Use Licensed Content. In exchange for a license fee of $0 and other good and sufficient consideration, Beauties grants to Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Licensed Content for the period of one (1) year, to expire one (1) year from: 

No omissions, additions, or changes shall be made to any Licensed Content without prior written approval of Beauties. As part of this license, Licensee shall have the right to download, duplicate, and print any Licensed Content for use that is permitted by this Agreement. Licensee shall access all Licensed Content through Licensee’s online account with Beauties. Beauties shall have the right to modify, alter, or change any Licensed Content during the duration of the License. 

4. Use of Licensed Content. Licensee agrees and promises to use the Licensed Content for the sole and exclusive purposes of starting and maintaining a Beauties Small Group Program and conducting Beauties Activities. All other uses of Licensed Content are expressly prohibited. Licensee further agrees and promises that any use of the Licensed Content shall be consistent with Beauties Values and Principles. All Beauties Small Group Programs and Beauties Activities shall be maintained and operated in a manner consistent with Beauties Values and Principles. Licensee acknowledges that this assurance is at the heart of the benefit which Beauties seeks in this Agreement and that any failure to comply with the requirements of this paragraph shall constitute a material breach of this Agreement. Licensee further agrees and promises that it will not use any Licensed Content or Beauties Procedures in a manner that dilutes Beauties proprietary interests or reflects negatively on Beauties as an organization or a small group model. The Licensed Content may be accessed, obtained, or used only by no more than two (2) Beauties Leaders and only for a Beauties Small Group Program of no more than ten (10) participating girls. 
5. Adaptation and Appropriation of Licensed Content. Licensee acknowledges and agrees that no Licensed Content, in whole or in part, shall be used in the creation or development of any new, adapted, or similar curriculum, procedures, or materials or of any program similar to or adapted from Beauties. 
6. Revocation of License. Licensee acknowledges and agrees that any violation of 

this Agreement by the Licensee, including, but not limited to a failure to use the Licensed Content in a manner consistent with Beauties Values and Principles, shall give Beauties the right to immediately revoke the license of the Licensed Content. Upon such revocation, Licensee shall forfeit all right to use any Licensed Content and shall desist from using the Beauties name, programming, curriculum, or materials in the operation of any small group or similar program. 

7. Indemnification. Licensee hereby covenants and agrees to indemnify, defend, hold harmless, and reimburse Beauties, and any and all of its members, owners, agents, directors, managers, employees, consultants, contractors, representatives, servants, insurers, and attorneys (the “Indemnified Parties”) from and against any and all liabilities, obligations, losses, claims, demands, awards, diminution in value, damages (including, without limitation, punitive damages or treble damages), costs, interest, expenses (including, without limitation, attorneys’ fees or travel expenses), charges, disbursements, insurance payments, judgments, fines, fees, penalties, bonds, or the like (collectively, “Losses”) the Indemnified Parties have incurred, do or may incur, individually or jointly, directly or indirectly, because of, arising from, or in connection with, any threatened, actual, pending, existing, or future allegation, accusation, assertion, argument, complaint, claim, counterclaim, cross-claim, causes of action, petition, proceeding, review, hearing, investigation, inquisition, inquiry, deposition, interrogation, interrogatory, document production, lawsuit, trial, dispute resolution, mediation, arbitration, litigation, appeal, and any and all other costs of defense (collectively, “Claims”) because of, arising from, or related to, this Agreement, the use of Licensed Materials, or the conducting of activities in conjunction with any Beauties Small Group Program or Beauties Activities. 
8. Disclaimer of Partnership. In making and executing this Agreement, the Parties expressly disclaim any intent to create a partnership between Beauties and Licensee. Neither this Agreement nor any term or provision herein shall be construed to create any partnership, or to infer the existence of any partnership. 
9. Disclaimer of Equity or Ownership Interest. In making and executing this Agreement, the Parties expressly disclaim any intent to effectuate any transfer or grant of equity, stock, ownership, or control of or in Beauties to Licensee. Nothing in this Agreement shall be construed to grant, bestow, or transfer to Licensee any equity or ownership interest in or of Beauties, nor of any right or authority to control Beauties’ operations. 

10.Disclaimer of Agency and Employment. In making and executing this Agreement, the Parties expressly disclaim any agency relationship between Beauties and Licensee. Licensee agrees and acknowledges that Licensee is not an employee, agent, or volunteer of Beauties, nor shall Licensee ever represent or imply that Licensee is in any way an employee, agent, or volunteer of Beauties. 

11. Child Protection Measures. Beauties is committed to ensuring that the girls who participate in any Beauties Small Group Program are safe from every form of harm or danger. Licensee agrees and warrants that they will implement best practices for child protection and abuse prevention. Licensee further agrees and warrants that they will take every necessary and reasonable action and precaution to ensure that every adult volunteer or employee participating in the Beauties Small Group Program maintained by Licensee (including any Beauties Leader) is sufficiently vetted and trained with respect to child protection and abuse prevention (“Child Protection Measures”). The Child Protection Measures that Licensee shall take and observe include, but are not limited to the following: 
12. a) Adopting and implementing a formal written child protection policy that is compliant with the Child Safety Standards promulgated by the Evangelical Council for Abuse Prevention; 
13. b) Conducting thorough background checks and reference checks on Beauties Leaders, volunteers, and employees who participate in a Beauties Small Group Program or Beauties Activities to screen out individuals with any indication of presenting a risk of harm or neglect to children; 
14. c) Providing formal child protection training to all Beauties Leaders, volunteers, and employees who participate in a Beauties Small Group Program or Beauties Activities; 
15. d) Obtaining and maintaining liability insurance coverage that provides a reasonable amount of coverage for claims or losses relating to the injury, abuse, or neglect of children; 
16. e) Complying with all applicable laws and regulations concerning child protection, abuse prevention, and mandatory reporting. 

Licensee acknowledges and agrees that Beauties does not provide any advice, counsel, training, instruction, or resources as to the implementation of any Child Protection Measures and that Licensee is solely responsible for implementing 

any and all Child Protection Measures. Beauties expressly disclaims all warranties and/or guarantees that the Licensed Content in and of itself provides the necessary information or instruction for implementing any Child Protection Measures for a Beauties Small Group Program or Beauties Activities. Licensee further acknowledges and agrees that, notwithstanding Licensee’s compliance or non-compliance with implementing any Child Protection Measures, that Beauties shall not be liable for any claims or losses arising from any injury, abuse, or neglect of anyone participating in a Beauties Small Group Program or Beauties Activities. 

12.Dispute Resolution. The Parties to this Agreement are Christians and believe that the Bible commands them to make every effort to live at peace and to resolve disputes with each other in private or within the Christian church (see Matthew 18:15-20; 1 Corinthians 6:1-8). The provisions of this paragraph shall apply to all disputes arising from or related to this Agreement: 

1. a) Except for actions to obtain limited injunctive relief described in Subparagraph 12(e) and actions to enforce an arbitration decision, any claim or dispute involving the Parties that arises from or is related to this Agreement shall be settled by Christian mediation, which can be provided by any mutually agreed-upon external Christian mediator that has the trust of the Parties. 
2. b) Any dispute that is not resolved through Christian mediation shall be subject to binding arbitration in accordance with the Rule of Procedure for Christian Conciliation. If the Parties cannot agree on a single arbitrator, each party shall select one arbitrator, and those two shall then select a third. A party’s good faith attempt to resolve a dispute through Christian mediation shall be a condition precedent for any party’s right to seek arbitration. 
3. c) Costs and expenses associated with mediation and/or arbitration shall be borne equally by all Parties in the controversy. In the event of a dispute between only two of the three parties to this Agreement, each of the two parties in controversy shall bear half of the total costs and expenses of the mediation and/or arbitration. In the event of a controversy that involves all three Parties, each Party shall bear one-third of such costs and expenses. 
4. d) Judgment upon an arbitration decision may be entered in a court of competent jurisdiction in the State of Colorado. 
5. e) Notwithstanding any provision in this Agreement, the Parties may file a civil action for the limited and exclusive purposes of obtaining injunctive relief to 

prevent the misappropriation or disclosure of confidential information and/or trade secrets, or the dilution or infringement of any intellectual property rights. Any such action brought for these limited purposes of obtaining injunctive relief shall be brought in a court of competent jurisdiction in the State of Colorado, which shall be the sole and exclusive forum for such actions. The Parties hereby consent to the selection of judicial forum and to personal jurisdiction and proper venue in the State of Colorado. Nothing in this Paragraph 12 shall be construed to permit a Party to bring any claim or action for declaratory judgment, specific performance, civil damages of any kind, or any other legal or equitable remedy not expressly described herein. 

1. f) A Party found to be in breach of this Agreement (either by a court or by one or more arbitrators) shall be liable for attorney fees and costs incurred by the non-breaching Party in enforcing this Agreement. 
2. g) The Parties understand that these methods set forth in this Paragraph 12 shall be the sole remedy for any controversy or claim arising out of the Agreement, and expressly waive their right to file a lawsuit in any civil court against one another for such disputes, subject to the limited exceptions set forth in this Paragraph 12. 

13.Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado. 

14.Binding Effect. All of the terms, covenants, warranties and representations contained herein shall be binding upon the Parties, and their respective heirs, assigns, successors, to the full extent permitted by law. Failure of any party to exercise its rights under this Agreement shall not in any way be construed as a waiver or prevent either party from thereafter enforcing the terms and conditions herein. 

15.Complete Agreement, Modification. This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, oral or otherwise, with respect to the subject matter hereof. Neither the Agreement nor any term hereof may be changed, waived, discharged or terminated orally, except by an instrument in writing signed by the party against which enforcement of the change, waiver, discharge or termination is sought. 

16.Headings, Gender and Singular. The headings in this Agreement are for purposes of reference only and shall not limit or otherwise affect the meaning hereof. Unless the context otherwise requires, references in this Agreement to 

any gender shall be construed to include all other genders, references in the singular shall be construed to include the plural, and references in the plural shall be construed to include the singular. 

17.Opportunity to Consider and Confer. Licensee expressly warrants and represents that before accepting the terms of this Agreement, Licensee had fully informed itself of the terms, contents, conditions and effects thereof; that in making this Agreement that it had the opportunity to seek the advice of counsel of their own choosing; that no promises or representations of any kind were made to it except as expressly stated in this Agreement; that Licensee fully understands and is in complete agreement with all terms of this Agreement; and that Licensee is entering into the Agreement of their own free will. Licensee further expressly warrants and represents that it has relied solely and completely on its own judgment and the advice of counsel in making and executing this Agreement and that it has not relied on any representation or statement not set forth in this Agreement. 

18.Construction. This Agreement shall not be construed more strongly against any party regardless of who is responsible for its preparation. 

19.Severability. If any clause or provision in this Agreement is found to be void, invalid, or unenforceable, it shall be severed from the remaining provisions and clauses that shall remain in full force and effect. 

20.Signing of Agreement. The Agreement is freely and voluntarily entered into by the Parties. The Parties acknowledge that they have read the Agreement prior to accepting and that they understand the words, terms, conditions and legal significance of this Agreement.

BEAUTIES CODE OF CONDUCT

(Adapted from the Evangelical Council of Abuse Prevention)

TO PROVIDE A SAFE AND HEALTHY ENVIRONMENT THAT HELPS ADVANCE THE SPIRITUAL, INTELLECTUAL AND SOCIAL WELL-BEING OF OUR CHILDREN AND YOUTH, ALL YOUTH WORKERS (whether employees or volunteers) AFFIRM AND AGREE AS FOLLOWS: I HAVE READ, UNDERSTOOD AND AGREE TO ABIDE BY THE CHILD PROTECTION POLICIES INCLUDING BUT NOT LIMITED TO THE FOLLOWING:

1) I have read and understand the organization's recommended child protection policies as stated within the Child Safety Standards promulgated by the Evangelical Council for Abuse Prevention, and agree to comply with them, including the following requirements.

2) I will comply with the child safety best practices, directions, and supervision while implementing the Beauties curriculum and serving youth. 

3) I will not act or behave in any way that jeopardizes the health and safety of a minor in my care.

4) As a leader implementing the Beauties curriculum, I will refrain from meeting alone with a minor except in an open area or space that is visible to others which includes but is not limited to private counseling, walks, being alone in a room or cabin, on car rides or any other excursion. I understand that at least one other adult must be present. The only exceptions are (a) with my own child, (b) in the case of an emergency, or (c) clear and unequivocal authorization from a child’s parent.

5) I will refrain from contacting a minor or allowing a minor to contact me through any form of

personal communication such as personal cell phone, landline, or social media and will inform

leadership if a minor contacts me utilizing one of these methods. The only exceptions are as stated in No. 4 above.

6) I will not offer or allow the use of tobacco, alcohol, incendiaries, matches, lighters, or other illegal substances by a minor in my care.

7) I will only allow prescription medication to be taken by the person prescribed and in the manner that it is prescribed.

8) I will be alert to potential safety risks and take action to prevent injury to minors. I agree to

document any accidents, injuries or reasonable suspicions of abuse and report accordingly,

consistent with applicable mandated reporter obligations.

9) I will not allow any type of harassment or bullying of another, whether in person, through social media, or otherwise. If I see any type of harassment taking place, I will seek to intervene in an appropriate way and immediately notify leadership of the issue.

10) I will not use any sexually charged language, profanity, or language drawing attention to people’s genitals, I will respect others and avoid any type of similarly inappropriate misconduct, which can include inappropriate or suggestive comments, gestures, or physical contact, written or social media communication.

11) I will respect the privacy of minors when they use restroom facilities, change clothes, or otherwise disrobe. In the case of minors that are too young to use the restroom on their own, I will help in a way that is most expedient and where I am visible to other adults. If bathing is necessary, I will ensure that I and other adults shower or change in a location separate from minors.

12) I will not show, discuss, or distribute any pornographic or indecent material to a minor, including but not limited to photographs, video, social media, or other media.

13) I will refrain from giving gifts of any kind (money, clothing, jewelry, books, etc.) prior to discussing it with leadership and, if leadership recommends doing so, seeking and receiving permission from the intended recipient’s parent/guardian.

14) I understand that I may be a Mandatory Reporter under applicable law. I therefore may be legally required to report any suspected sexual or physical abuse or neglect of a minor of which I witness or become aware, to government authorities such as a state children protection agency or the local police. I agree to comply with such requirements and to report such matters to supervisory personnel. I understand that any such internal reporting is in addition to legally required reporting to government authorities.

15) I agree to respect the confidentiality and privacy of minors, unless a Child, Youth, or Vulnerable Adult is in danger, in which case I will notify the police or other appropriate civil authority, as well as the leadership of the organization.

16) I understand that in the event that my personal conduct or behavior is deemed a violation of the child protection policies, I may be subject to the termination of my ability to serve and other adverse consequences.

17) I agree to follow all the directives of the policies, and comply with the information given in the leader resources.

STATEMENT OF FAITH AGREEMENT:

Beauties is a faith-based non-profit organization, not associated with any particular denomination. We believe the following:

1. There is one true God, eternally existing in three persons: Father, Son and Holy Spirit. He is the sovereign creator, ruler and sustainer of all things, and the redeemer of all mankind.
2. We believe Jesus Christ, the son of God, is fully God and fully man. He died on the cross as a perfect sacrifice to pay the penalty of our sins. He was bodily raised from the dead and ascended as Lord and Savior. He will return in power and glory to reign and fulfill the eternal plan of God.
3. The Holy Spirit is our helper and comforter, who continually draws believers closer to God. He transforms believers into the image of Jesus Christ and empowers them to live the Christian life.
4. Salvation from our human condition of brokenness/sin is offered to us through Jesus Christ’s death on the cross and his resurrection. Salvation is gifted to us by God’s grace apart from any personal work or achievement. 

5. The Bible is divinely inspired and the authoritative Word of God which guides all we say and do. It speaks to us about who God is and is the source for knowing God’s will for our lives.
6. We walk in obedience to Christ by following the commandment to love God and love others and through the power of the Holy Spirit, we commit to live a holy and God honoring life. 
7. All people are created by God to worship Him and have a personal relationship with Him.

As one implementing the Beauties curriculum, will you agree to uphold the Beauties statement of faith in your Beauties leadership and small group instruction?

Occasionally, [Beauties] program activities may be photographed, videotaped, or audio taped for educational, publicity or fundraising purposes. Please indicate if you give permission to appear in videos, photos or audio recordings without compensation (e.g., as part of brochures, slideshows or program websites).
